If you do not agree to any part of these Terms, please discontinue use of our Website and refrain from purchasing our products or services.

PART II: THE SHIELD SERVICE PLAN TERMS & CONDITIONS

1. Introduction

1.1 These Service Plan Terms & Conditions (“Service Terms”) govern your enrollment in The Shield service plans (the “Plans”), which may include Sidekick, Superhero, and Legend tiers.

1.2 By subscribing to any Plan, you acknowledge that you have read, understood, and agree to be bound by these Service Terms. If you do not agree, do not enroll.

2. Service Plan Coverage

2.1 Each Plan provides preventative maintenance, inspections, and exclusive benefits as specified in the Plan details.

2.2 Unless explicitly stated, these Plans do not include repairs, part replacements, or new equipment installations.

2.3 Coverage Area: By enrolling in The Shield, you represent and warrant that your primary service address is located within our current Coverage Map, available at https://supertech.tech/the-shield-subscriptions. We reserve the right to cancel your Plan at any time, without prior notice, if your service address is determined to lie outside of our coverage area.

3. Limitations of Coverage

3.1 The Plans do not guarantee uninterrupted or error-free operation of your HVAC, plumbing, or other systems.

3.2 SuperTech Industries LLC is not responsible for pre-existing issues, manufacturer defects, or damages caused by neglect, misuse, or acts of nature.

3.3 The Plans do not include electrical work, structural modifications, hazardous material handling, or mold remediation.

3.4 Service is applicable only to equipment registered under the Plan and located at the service address on file.

4. Term & Payment

4.1 Billing: Plan fees are billed on a monthly recurring basis until canceled by you or terminated by us.

4.2 Payment Failure: If payment is not received on time, we may suspend or terminate services until your account is brought current.

4.3 Price Changes: We reserve the right to modify Plan pricing with at least 30 days’ prior notice.

4.4 Refunds: Payments are non-refundable. No credits will be issued for unused portions of any Plan.

5. Scheduling & Service Calls

5.1 Appointments: Services are scheduled at our discretion, subject to technician availability.

5.2 Emergency Services: Priority service is included for certain Plans but does not guarantee immediate response; it remains subject to availability.

5.3 Missed Appointments: You must provide at least 24 hours’ notice to reschedule or cancel an appointment. Failure to do so may result in a service fee.

6. Plan Cancellations & Termination

6.1 Cancellation by You: You may cancel your Plan at any time by giving 30 days’ written notice.

6.2 Early Service Billing: If you cancel after receiving services but before making 12 months of payments, you may be charged the full retail cost of services already provided.

6.3 Termination by Us: We reserve the right to terminate your Plan for non-compliance with these Service Terms, abusive behavior towards our staff, fraudulent activity, or other justified reasons.

7. Warranty & Liability Limitations

7.1 We warrant all workmanship and labor provided under the Plan for 30 days from the date of service.

7.2 Any SuperTech Parts Warranty applies only to approved repairs completed by our technicians; it does not cover third-party work or subsequent damage.

7.3 We are not liable for indirect, incidental, consequential, or special damages related to system failures, personal injury, property damage, or expenses incurred due to a lack of heating, cooling, or plumbing.

8. Force Majeure

8.1 We are not responsible for delays or failure to perform services due to events beyond our reasonable control (e.g., natural disasters, extreme weather, labor shortages, or government mandates).

9. Governing Law & Disputes

9.1 These Service Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles.

9.2 Any disputes arising under these Service Terms must be resolved exclusively in the state or federal courts located in or serving Maricopa County, Arizona.

9.3 Any claim must be filed within one year of the event giving rise to the dispute.

10. Changes to Service Terms

10.1 We may update or modify these Service Terms at any time. In the event of material changes, we will notify subscribers via email or other reasonable means. Your continued enrollment constitutes acceptance.

11. Acceptance of Service Terms

11.1 By enrolling in The Shield, you acknowledge that you have read, understood, and agree to be bound by these Service Terms.

PART III: GENERAL PROVISIONS (APPLICABLE TO WEBSITE USE & SERVICE PLANS)

1. Limitation of Liability

1.1 To the fullest extent permitted by applicable law, we disclaim all representations, warranties, and conditions related to the Website, our Plans, and any goods or services provided.

1.2 Nothing in these Terms shall:

• Limit or exclude our or your liability for death or personal injury resulting from negligence;

• Limit or exclude our or your liability for fraud or fraudulent misrepresentation;

• Limit any liabilities in any way not permitted under applicable law; or

• Exclude any liabilities that may not be excluded under applicable law.

2. Severability

2.1 If any provision of these Terms is found invalid or unenforceable, that provision shall be deemed severed, and the remaining provisions shall remain in effect.

3. No Waiver

3.1 Our failure or delay to enforce any right or provision under these Terms does not constitute a waiver unless agreed to by us in writing.

4. Entire Agreement

4.1 These Terms (including all referenced policies and guidelines) constitute the entire agreement between you and SuperTech Industries LLC concerning the subject matter herein, and supersede any prior or contemporaneous understandings.

ADDITIONAL E-COMMERCE & BUSINESS TERMS

1. Privacy & Data Collection

1.1 Personal Information Collection: We collect personal data such as name, address, phone number, and email when you submit it through the Website, request information, or subscribe to The Shield.

2. Recurring Billing for Services

2.1 If you enroll in The Shield or any recurring service, your chosen payment method will be automatically billed each month unless you cancel.

2.2 Failure to maintain a valid payment method may result in suspension or termination of services.

3. E-Commerce Terms (Purchase of Goods)

3.1 Orders & Payment: Products or services offered for sale on our Website can be purchased by completing the checkout process and providing accurate billing and shipping information.

3.2 Pricing & Taxes: All prices are shown in U.S. dollars unless otherwise stated. We reserve the right to correct any pricing errors and to cancel orders affected by such errors.

3.3 Shipping & Fulfillment: Delivery times are estimates. Title and risk of loss transfer to you upon delivery to your address (or upon completion of services).

3.4 Returns & Refunds: Physical products may typically be returned in like-new condition within 14 days of purchase unless otherwise specified. Service fees and membership fees are non-refundable unless expressly stated.

4. User Accounts & Authentication

4.1 Account Creation: You may create an account to purchase goods, manage subscriptions, or access additional features. You agree to provide and maintain truthful and current information.

4.2 Account Security: You are responsible for protecting your account credentials. Any activity under your account is deemed your responsibility.

4.3 Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws, or for other reasonable grounds.

7.2 Where permissible, our total liability is capped at the amount you paid for the relevant product or service in the six (6) months preceding the claim, or one hundred dollars (USD $100), whichever is greater.

9.1 We are not liable for any delay or failure to perform services due to events beyond our reasonable control (e.g., natural disasters, supply chain disruptions, extreme weather, labor shortages, government mandates).

10. Governing Law & Dispute Resolution

10.1 These Terms, and any disputes arising hereunder, are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules.

10.2 Any claim must be brought in the courts located in or serving Maricopa County, Arizona, within one year of the event giving rise to the dispute.

10.3 Binding Arbitration: In the event of a dispute, you agree to resolve the dispute through binding arbitration under the rules of the American Arbitration Association (AAA) in Maricopa County, Arizona.

11. Changes to These Terms

11.1 We may revise or update these Terms at any time, effective upon posting with a new Effective Date.

11.2 If we make material changes, we will notify subscribers or post a prominent notice on the Website. Your continued use after such changes constitutes acceptance.

12. Severability & No Waiver

12.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

12.2 Any failure by us to enforce a provision of these Terms shall not be deemed a waiver of that provision unless we acknowledge it in writing.
